We report ethics, compliance and governance as a principal risk. We monitor applicable evolving laws and regulations as they can provide new opportunities to capture future value (for example emissions regulations driving innovation in Transport and energy-saving regulations in Climate Control) and introduce risk that requires close management or changes to our processes.

Global Reporting Index (GRI)
We are committed to robust, accurate data and transparent sustainability reporting. This is our third year reporting in accordance with GRI standards. We maintain a comprehensive mapping between GRI Standards and ESRS requirements to ensure robust disclosure and prepare for future ESRS reporting. Our Code of Conduct
Our Code of Conduct sets out how we should think and act to make good choices, act with integrity and uphold our high business standards. Committing to doing the right thing is central to our purpose of delivering Breakthrough engineering for a better world. Our Board approved Code aims to ensure that we maintain high ethical standards and protect our reputation. It is distributed to all our people and available on our website. Our Code outlines the standards expected from us by our stakeholders and what we expect from our people, business partners and third parties.
This year, we have revised our Code so it contains our new values and new sections on AI and product safety and compliance. This was reviewed and approved by the Board.

We are advancing our reporting practices to align with emerging global standards and regulations, focusing on the material issues most important to our stakeholders. We will update our reporting based on the latest European Union requirements in 2025 and are investing in systems to enhance our reporting capabilities.
Supplier management and human rights
We are committed to conducting business ethically and in line with all relevant legislation and promoting human rights. Our Supply Chain Code of Conduct (Supply Chain Code) sets out our expectation that our business partners, suppliers, contractors and those in our supply chains align with our commitment to human rights regarding human rights violations, including forced/ involuntary labour or modern slavery.
Our Modern Slavery Act Statement details the steps taken to tackle modern slavery and human trafficking and is approved by the Board. Both our Supply Chain Code and our Modern Slavery Act Statement are on our website.
Training on modern slavery and human trafficking is available to all employees and is mandatory for employees who have direct interaction with our supply chain. Modern slavery and human trafficking issues were covered in both the Code online training module completed by desk-based employees and the site-based version for non-desk-based employees across IMI in 2023.
Our Responsible Minerals Sourcing SOP confirms our commitment to the sourcing of minerals in an ethical and sustainable manner to ensure that tin, tungsten, tantalum, gold and cobalt are sourced with respect for human rights.
Supplier engagement is key to ensuring a sustainable supply chain in the future. We have partnered with AssentTM to investigate suppliers for risk exposure and Product Compliance.

We conduct business ethically, comply with relevant legislation, and promote human rights. Our HR and supplier management policies align with the International Labour Organisation's Core Conventions. Our Supply Chain Code ensures business partners adhere to our commitment to human rights, including prohibiting forced labour and modern slavery. Training on modern slavery and human trafficking is mandatory for relevant employees. Our Responsible Minerals Sourcing SOP ensures ethical sourcing of minerals.
In addition, our IMI Germany Holding B.V. & Co. Policy Statement (Grundsatzerklärung) published pursuant to the German Supply Chain Due Diligence Act/ Lieferkettensorgfaltspflichtengesetz (LkSG) explains how our German companies protect human rights and the environment in our own organisation and within our supply chain. We have an established Complaints Procedure (Verfahrensordnung Beschwerdemechanismus) for reporting suspected breaches of human rights or environmental standards to the IMI Hotline.
Double Materiality Assessment (DMA)
Our DMA assesses sustainability impacts, risks, and opportunities across IMI’s global operations. Conducted in 2024, it aligns with the European Sustainability Reporting Standards (ESRS) and the Corporate Sustainability Reporting Directive (CSRD). This assessment considers both the impacts on people and the planet and the financial risks and opportunities arising from these impacts. Anti-bribery and Anti-corruption
We have a zero-tolerance stance on bribery and corruption, outlined in our Anti-Bribery and Anti-Corruption (ABAC) Policy. This policy prohibits bribery, corruption, tax fraud, and the facilitation of tax fraud. Our ABAC Policy is regularly reviewed, and compliance is verified through year-end controls and sector compliance monitoring. Updated SOPs support the ABAC policy, covering hospitality, gifts, conflicts of interest, company giving, and third-party due diligence.
Speaking up
We foster a culture where individuals feel comfortable reporting concerns in good faith, assured that their concerns will be addressed appropriately and without retaliation. Our Code training encourages all employees to report any incidents that do not align with our values and behaviours, including concerns about sustainability, human rights, corruption or bribery. Reports can be made through line managers, senior leaders, or via a confidential, independent hotline that supports anonymous reporting in our core languages (www.imihotline.com). The IMI Hotline can also be used by external third parties such as suppliers and customers.
